This Amendment No. 1 to the Schedule 13G (this “Amendment”) is being filed on behalf of Fir Tree, Inc., a New York corporation (“Fir Tree”), relating to Common Stock, $0.0001 par value (the “Common Stock”), of Empeiria Acquisition Corp., a Delaware corporation (the “Issuer”), purchased by by certain private investment funds for which Fir Tree serves as the investment manager (the “Funds”).

This Amendment is being filed to report that Fir Tree no longer beneficially owns the Issuer’s Common Stock.
